Terms and Conditions

1. Interpretation

1.1 In these Conditions:

• “Conditions”: The standard terms and conditions of sale set out in this document, including any special terms agreed in writing between the Customer and ALE Group Co.
• “Contract”: The agreement between the Customer and ALE Group Co. for the supply of Goods and/or Services in accordance with these Conditions.
• “Customer”: The individual or entity whose order for Goods and/or Services is accepted by ALE Group Co.
• “Goods”: Products sold by ALE Group Co. as specified in the Quotation.
• “Order”: The Customer’s request for Goods and/or Services, as accepted by ALE Group Co.
• “Order Confirmation”: ALE Group Co.’s acceptance of the Order, either in writing or orally.
• “Quotation”: The offer for Goods and Services provided to the Customer by ALE Group Co., either written or oral.
• “Services”: Any services provided to the Customer under these Conditions, as specified in the Quotation.
• “ALE Group Co.”: The business selling the Goods and/or Services, as detailed in the Quotation or communicated to the Customer.

1.2 References to statutes are to be interpreted as amended, reenacted, or extended at the relevant time.
1.3 Headings are for convenience only and do not affect interpretation.

2. Making the Contract

2.1 Each Order is considered an offer by the Customer to purchase Goods and/or Services under these Conditions. A Contract is formed when ALE Group Co. accepts the Order through an Order Confirmation or begins providing Goods/Services.

2.2 ALE Group Co. reserves the right to accept or reject Orders at its discretion. No obligation arises until an Order Confirmation is issued or the provision of Goods/Services commences.

2.3 These Conditions govern the Contract, excluding any other terms unless explicitly agreed upon under clause 2.4.

2.4 Any variation to these Conditions must be agreed in writing by authorised representatives of both parties.

2.5 The Customer is responsible for ensuring the accuracy of the Quotation and any associated specifications. Amendments after an Order Confirmation may incur additional costs.

2.6 All Quotations are invitations to treat, not offers, and are valid for 30 days unless stated otherwise.

2.7 Advice from ALE Group Co. not confirmed in writing is followed at the Customer’s risk.

3. Provision of Goods and Services

3.1 The details of the Goods and Services are as per the Quotation. The Customer must ensure surfaces and structures are prepared for application and affixing.

3.2 If Goods are customised per Customer specifications, the Customer indemnifies ALE Group Co. against claims of intellectual property infringement.

3.3 ALE Group Co. reserves the right to make changes to comply with legal requirements or improve quality/performance without affecting material functionality.

3.4 Orders cannot be cancelled unless agreed in writing. Cancellations may incur full indemnification of ALE Group Co.

4. Price of Goods

4.1 Prices are as per the Quotation or calculated from ALE Group Co.’s price list.
4.2 ALE Group Co. may adjust prices due to factors like currency fluctuations, delivery changes, or additional work required.
4.3 Prices exclude packaging, delivery, VAT, or other duties unless stated otherwise.

5. Terms of Payment

5.1 ALE Group Co. may invoice at any time after delivery or performance of services.
5.2 Payments are due within 30 days unless otherwise agreed. Late payments may incur interest at 10% per annum.

6. Delivery

6.1 Delivery occurs either at ALE Group Co.’s premises for collection or the agreed Delivery Location for an extra fee.

6.2 Goods are deemed delivered upon availability for collection or delivery to the specified location.

6.3 Delays in delivery caused by the Customer or external factors are not the responsibility of ALE Group Co.

7. Risk and Property

7.1 Risk transfers to the Customer upon delivery.
7.2 Ownership of Goods remains with ALE Group Co. until full payment is received.

8. Termination

8.1 ALE Group Co. may terminate the Contract if the Customer breaches terms, fails to pay, or becomes insolvent.

9. Warranties, Liabilities, and Indemnity

9.1 ALE Group Co. warrants Goods and Services for 12 months against defects in material, design, and workmanship, subject to proper usage.
9.2 Exclusions apply if misuse, unauthorised repair, or negligence affects the Goods.

10. Data Protection

10.1 By placing an Order, the Customer agrees to ALE Group Co. processing personal data per its Privacy Policy.

11. General

11.1 Notices must be delivered in writing or via email to specified addresses.
11.2 Contracts are governed by Australian law, with disputes subject to Australian courts.
